SEBI Update- Master Circular for Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 (“Takeover Regulations”)- 16 th February, 2023

SEBI vide Circular dated 16 th February, 2023 has prepared Master Circular for Takeover Regulations, in order to enable the stakeholders to have access to the provisions of the applicable circulars at one place.

The directions/instructions contained in the circulars listed out in Annexure-V to the given Master Circular, to the extent they relate to the Securities and Exchange Board of India (Substantial Acquisition of Shares and Takeovers) Regulations, 2011 (hereinafter referred to as “Takeover Regulations”), shall stand rescinded.

This Circular is applicable to all Recognized Stock Exchanges, Registered Merchant Bankers, Listed Entities, Other Stakeholders (Other Stakeholders for the purpose of applicability of this master circular includes Depositories and Depository Participants, Clearing Corporations, Registrars to the Issue, Stock Brokers, Acquirers, Sellers etc. to whom specific provisions of this circular are applicable).
